Terms and Conditions

By continuing to use this website(s) under the wealthtick.co.in domain, including but not limited to the website – www.wealthtick.co.in and websites or applications developed by Wealthtick Digital Solutions Private Limited for third parties, and/or any associated application(s) (collectively referred to as “the Platform”), you agree to be bound by the terms and conditions (“Terms”) set out below. Please read the Terms carefully. If you do not agree to the Terms in their entirety, please do not use or access the Platform. Wealthtick Digital Solutions Private Limited, through this Platform, provides various technology services to its users, SEBI-registered intermediaries, and associated entities.

Definition

“Associate Companies” shall mean Group entities or affiliates of Wealthtick Digital Solutions Private Limited, including but not limited to technology partners, distribution partners, and licensed intermediaries engaged for providing specific services on the Platform.

“Company” shall mean WealthTick Digital Solutions Private Limited (Wealthtick).

“Group” shall collectively mean the Company and its Associate Companies.

“Intellectual Property Rights” shall mean Include, without limitation, patents, copyrights, trademarks, trade secrets, know-how, service marks, database rights, inventions, designs, business names, domain names, marks and devices (whether registered or not), and applications for registration thereof, anywhere in the world.

“Services” shall mean Services provided by the Company, Associate Companies, or licensed third parties on the Platform, including but not limited to investment basket display, portfolio analytics, communication services, integration with brokers, research display, and technology solutions.

“User or you” shall mean any person who accesses, uses, installs, or views the Platform (even if you do not avail the Services).

"User Data" shall mean personal and/or sensitive data, information, user transaction data including but not limited to: PAN, Aadhaar, name, address, date of birth, contact information, bank details, financial information, broker account details, and other information relevant for accessing Services.

Services

1. The Company operates the Platform to enable the User to avail Services. The User acknowledges that not all Services on the Platform are provided by the Company, and that services may also be provided by Associate Companies or SEBI-registered third parties (Investment Advisers, Research Analysts, Brokers, NBFCs/Banks).

2. The User shall, before availing such Services, read the terms and conditions and privacy policy of such Associate Company or third party. The Company shall not be liable for any Service availed by the User from such third party.

3. While accessing the Services, the Company will act only on your express instructions. Any transactions carried out on your behalf shall be subject to your sole consent, discretion, and responsibility.

4. For enabling Services, the Company may partner with SEBI-registered brokers, investment advisers, research analysts, NBFCs/ Banks registered with RBI, and other regulated intermediaries.

5. In order to use certain Services, you may be required to create a profile on the Platform and provide User Data. You acknowledge that providing accurate and complete information is necessary for the use of Services and agree that incorrect or incomplete information may lead to refusal or cancellation of Services.

6. You grant your express authorisation to the Company and Associate Companies to access, collect, store, and use User Data for providing Services, in line with the Privacy Policy.

7. You acknowledge, agree, and authorise that the information shared by you on the Platform or received from third parties may be shared within the Group and/or with regulated intermediaries (brokers, IAs, RAs) to provide seamless features and Services.

8. You declare that you have read, understood, and agreed to the disclosures made on the Platform.

9. The Company and Associate Companies shall not be liable for any actual or threatened losses, damages, disputes, or claims arising out of the use or misuse of the Services by you.

10. The availability and efficiency of Services depends on third-party systems (broker APIs, exchanges, telecom, etc.), and the Company shall not be responsible for downtime or technical disruptions.

11. By accessing the Platform, you consent to receiving communications in relation to Services via WhatsApp, email, notifications, or other channels (“User-requested Communications”). Such communications are informational only and shall not be construed as investment advice.

12. By accessing Services, you represent that you are competent to contract and consent to these Terms.

13. The Company may amend these Terms and the Privacy Policy from time to time. Continued access or use constitutes acceptance of amended Terms.

AI Assistant (Nivisha) Services

Nivisha is an AI-powered virtual assistant made available on the Platform by WealthTick to assist Users with general financial and product-related, and platform-related assistance. Responses generated by Nivisha are automated and may rely on machine learning models, third-party technologies, publicly available information, and external data sources.

i) Information provided by Nivisha is for informational and educational purposes only and shall not be construed as investment advice, research recommendations, legal advice, tax advice, financial advice, or any other professional advisory service under applicable laws, including SEBI regulations. Users are advised to independently verify all information and consult qualified professionals before making financial or investment decisions.

ii) While WealthTick endeavors to improve the accuracy and reliability of Nivisha, AI-generated responses may occasionally contain inaccuracies, incomplete information, delays, outdated information, or unintended outputs. WealthTick does not guarantee the accuracy, completeness, reliability, suitability, or availability of any response generated through Nivisha.

iii) Certain responses generated by Nivisha may rely upon third-party market data, broker APIs, publicly available information, external AI technologies, or other external sources. Such information may be delayed, incomplete, or unavailable due to technical or third-party limitations. WealthTick does not independently verify all such information and shall not be responsible for any inaccuracies, delays, omissions, or interruptions in such data or services.

iv) Users acknowledge that any reliance placed upon information or responses generated by Nivisha shall be strictly at their own risk. Users are solely responsible for evaluating the merits and risks associated with the use of any information or content generated through the AI assistant.

v) Users shall not:

  • attempt to manipulate, misuse, reverse engineer, disrupt, or interfere with the functioning of Nivisha or related systems;
  • use Nivisha for any unlawful, misleading, abusive, fraudulent, defamatory, or malicious activities;
  • upload, share, transmit, or disclose passwords, OTPs, trading credentials, API keys, confidential information, or sensitive financial information through the chatbot interface.

vi) Interactions with Nivisha may be recorded, monitored, stored, processed, and analysed by WealthTick and/or its associate entities for purposes including service improvement, analytics, AI model training, security, fraud prevention, compliance, dispute resolution, and enhancement of user experience, in accordance with the Privacy Policy and applicable laws.

vii) Investments in securities markets are subject to market risks. Past performance does not guarantee future results. Users are advised to read all related scheme documents, disclosures, and risk factors carefully before making investment decisions.

viii) Without prejudice to the general limitation of liability provisions under these Terms, WealthTick shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or financial losses arising out of or relating to:

  • use of or reliance upon responses generated by Nivisha;
  • inaccuracies, omissions, delays, or errors in AI-generated content;
  • interruptions, technical failures, downtime, or unavailability of the AI assistant services.

ix) Where a User has fetched portfolio data through the Account Aggregator framework, Nivisha may use such data to generate responses, insights, or portfolio analysis based on User prompts such as “Analyze My Portfolio” or similar requests, subject to the User’s consent and the Privacy Policy.

x) WealthTick reserves the right to modify, suspend, restrict, discontinue, or update Nivisha or any AI-enabled functionality at any time without prior notice.

xi) By accessing or using Nivisha, the User acknowledges that they have read, understood, and agreed to these AI Assistant provisions in addition to the other Terms applicable to the Platform.

Privacy and Data Protection

We shall use your data for providing the Services to you and in accordance with the Privacy Policy, subject to SEBI and/or other applicable rules, regulations, circulars and guidelines issued from time to time. You hereby acknowledge, agree and provide your explicit consent to share your data with us and our associate/affiliate companies/partner banks/any other third parties to the extent required by us to provide the Services, enhance the user experience, build insights, analyse data for the introduction of new services and features, and as may be required to comply with any regulatory and legal requirements. You hereby acknowledge, agree and provide your explicit consent/authorization to Us and our associate/affiliate companies that the information shared by You on the Platform or received by Us and/or our associate/affiliate companies from various intermediaries and third parties may be shared within the Company, our associate/affiliate companies and other third parties. The information pertaining to You, so shared within our group companies, may be used by our group companies to create 'Your account' / profile with such group companies, in order to make new features or shared experiences or products/services available to You in a seamless manner and for such group companies to send communications to You.

The Company may use the unique identifier of Your device for security purposes to track suspicious activity and for enabling certain features. For instance, if We detect that Your account is being accessed from multiple devices, We may contact You to ensure that You have authorised such access.

You hereby acknowledge, agree and provide Your explicit consent to Us and our associate/affiliate companies to receive Your data including Your investment, financial, personal data from different third parties and intermediaries to provide Services on the Platform. For any data as well as consent that you may have provided and want to be deleted or revoked (fully or partially), please send an email at support@wealthtick.co.in stating the details of the data and/or consent provided and the scope/nature of the deletion/ revocation desired. However, in the event You withdraw such consent or make a request to delete Your data, You will not be able to use the Services on the Platform.

Limitation of Liability and Damages

1. No Guarantee of Uninterrupted Services: We do not guarantee, represent, or warrant in any manner that Your use of Our Services will be uninterrupted, timely, secure, or error-free, on account of telecommunication interruptions, broker API failures, exchange downtime, or other disruptions. We also do not warrant that the Platform and its servers are free of computer viruses or other harmful mechanisms.

2. Technology-related Risks: If Your use of the Platform or content therein results in the need for servicing or replacing Your computer, mobile, or other equipment or data, We are not responsible for any such costs. We shall not be liable for any damage to Your devices or for loss of data that may result from the download of any content, material, or use of any software, systems, functionalities, or services on the Platform.

3. Third-party Risks: We shall also not be liable under any circumstances for damages arising out of or related in any way to Your inability to access the Platform due to bugs, viruses, trojan horses, or similar issues transmitted by any third party, any loss of Your data, or any claim relating to Your data or content from Services provided by SEBI-registered brokers, IAs, or RAs.

4. Social Media and Third-party Content: We may have a presence on social networking websites/applications (including but not limited to LinkedIn, X, and YouTube) to connect with a larger group of people. We shall not be liable in any way for any content posted by third-party users, or for any loss or damage arising from Your reliance on such content. Further, We shall not be liable for any unlawful acts (including posting of insider information, misuse of data, fraud, or cyber-crimes) committed by You or any third party.

5. Disclaimer of Warranties: You hereby acknowledge that WealthTick, its owners, officers, directors, consultants, affiliates, employees, partners, agents, representatives, subcontractors, and associated entities (collectively, "Associated Entities") make no representations or warranties, express or implied, with respect to any content, information, features, software, data, system, functionality, or Services contained on this Platform. All Services are provided on an "as is" and "as available" basis.

6. Limitation of Damages: To the maximum extent permitted by law, We and/or Our Associated Entities shall, in no event, be liable to You for any direct, indirect, punitive, incidental, special, exemplary, or consequential damages which may be incurred by You, including but not limited to loss of data, loss of profits, or financial damages, arising from or connected with the use of the Platform or inability to use the Platform.

7. Investment-related Risks: We and/or Our Associated Entities do not guarantee any specific performance, returns, or safety of principal in relation to investment products displayed through the Platform. Investments in securities are subject to market risks. You are advised to consult your own professional advisers before making investment decisions.

Indemnification

You agree to defend, indemnify, and hold harmless WealthTick and its Associated Entities from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys fees) arising from:

  • Your use of and access to the Platform;
  • Your violation of these Terms, the Privacy Policy, or other applicable Policies;
  • Your violation of any third-party rights, including but not limited to intellectual property, privacy, or confidentiality rights;
  • Any third-party claims relating to Your use of the Platform or Services;
  • Your violation of applicable laws, including SEBI or RBI regulations.

Disclaimers / No Warranties

1. Your use of the Services is at Your sole risk and responsibility.

2. Any material downloaded or otherwise obtained through the use of the Services is done at Your own discretion and risk, and You will be solely responsible for any resulting damage to Your devices or loss of data.

3. WealthTick does not warrant that:

  • The information on the Platform is accurate, complete, or up to date;
  • Your use of the Services will meet Your requirements;
  • The Services will be uninterrupted, timely, secure, or error-free;
  • Any information obtained from the Services will be reliable;
  • Defects in the operation or functionality of any software will be corrected.

WealthTick provides tools, analytics, and reports for informational purposes only. These should not be construed as investment advice under SEBI Investment Adviser Regulations, tax advice, or recommendations.

Communications

By using the Platform, You consent to receiving communications electronically via email, SMS, RCS WhatsApp, or push notifications. Such communications are informational in nature. You also authorise WealthTick and its service providers to contact You for regulatory, operational, or promotional purposes, subject to applicable TRAI and SEBI guidelines.

Waiver, Severability & Survival

  • Failure to enforce any provision of these Terms shall not constitute a waiver.
  • If any part of these Terms is deemed unenforceable, the remaining provisions shall remain valid.
  • Provisions relating to Intellectual Property, Confidentiality, Limitation of Liability, Indemnification, Disclaimers, and Governing Law shall survive termination of these Terms.

Force Majeure

WealthTick shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, strikes, lockouts, epidemics/pandemics, system failures, cyber-attacks, or regulatory restrictions.

Assignment

The rights and obligations under these Terms are personal to You and may not be transferred or assigned. WealthTick reserves the right to assign its rights and obligations to any of its group companies, affiliates, or successors.

Miscellaneous

i) In order to provide the Services and access to the Platform, the Company may be required to create a user profile that may be linked to third-party platforms or Associate Company platforms as may be necessary or requested by you, subject to verification. The registration of the user profile shall require the Company to retain certain User Data for providing a safe and efficient user experience.

ii) The Company, the Associate Companies, and their respective affiliates, subsidiaries, directors, employees, promoters, and agents shall not be liable for:

  • Any direct, indirect, incidental, special, consequential or exemplary loss or damage suffered by the User, however caused, including but not limited to:
    • loss of profit (whether incurred directly or indirectly);
    • loss of goodwill or business reputation;
    • loss of data;
    • cost of procurement of substitute goods or Services;
    • or other intangible losses arising out of the use of, or inability to use or access the Platform or Services, or any security breach, virus, bug, unauthorised intervention, technical malfunction or defect, whether or not foreseeable and whether or not the Company has been advised of the possibility of such damage;
  • Any loss or damage incurred by the User owing to any temporary disablement or permanent discontinuance of the Platform or Services, or any deletion, corruption or failure to store any content or other communications maintained during the use of the Services.
  • Any loss or damage arising out of reliance placed by the User on the completeness, accuracy or existence of any advertising, or as a result of any relationship or transaction between the User and any advertiser or sponsor whose advertisement appears on this Services.

iii) You agree to indemnify and keep the Company, Associate Companies, their respective affiliates and licensors indemnified against all costs, expenses, damages, losses and liabilities incurred or suffered by such party related to any User Content posted or transmitted by You during the use of the Platform or Services, or any unauthorised use of the Platform or Services in contravention of these Terms.

iv) Privacy Policy and Associate Company Terms The Privacy Policy and the Associate Company Terms shall be read together with, and shall form an integral part of, these Terms.

v) These Terms shall be governed by and construed in accordance with the laws of India. The courts of Bengaluru shall have exclusive jurisdiction in respect of any disputes arising out of or in connection with these Terms.

vi) Any failure or delay by the Company to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any part of the Terms is found by a court of competent jurisdiction to be invalid, the parties agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms shall remain in full force and effect.

vii) You agree that, regardless of any statutory period of limitation, any claim shall be filed within one (1) year after the relevant cause of action arose, failing which such claim shall be deemed barred.

viii) The Company shall be entitled, at its sole discretion, to terminate your use of the Platform and the Services in the event of any breach of these Terms by you, or upon the occurrence of any event which gives rise to a reason for the Company to discontinue the offering of the Platform or Services to you, without any prior notice or obligations whatsoever.
